On October 19, YeaH1 announced it had sold 17 million YEG shares in a private placement, 7 million of them to Ms. Lê Phương Thảo. Eighteen days later, effective November 6, she stepped down as Chairwoman of YeaH1 Group Joint Stock Company while remaining a board member. In the same week the CEO moved up to Chairwoman, an outsider took the executive seat, and the Head of the Supervisory Board submitted a resignation letter.
For anyone holding YEG, this is more than a personnel notice. Shareholders on the November 18 record list will receive ballots to vote on the Supervisory Board and on amendments to the company charter. This post walks through the new leadership, the October placement and what shareholders will be asked.
The new leadership from November 6
Under a board resolution effective November 6, 2026, Ms. Lê Phương Thảo left the chair at her own request and remains a board member for the 2022-2027 term.FireAnt She became Chairwoman in 2022, when founder Nguyễn Ảnh Nhượng Tống withdrew from the company.Người Quan Sát
Her successor is Ms. Ngô Thị Vân Hạnh, now Chairwoman of YeaH1. Ms. Hạnh served as CEO from September 2023 and joined the board in May 2024. According to CafeF, she has run the company's content business directly since 2022 and is the person behind shows such as Anh Trai Vượt Ngàn Chông Gai.CafeF
The CEO seat goes to Ms. Nguyễn Thị Hà My, who had held no role at YeaH1 before.CafeF Ms. My spent more than six years as Country Director of AnyMind Group Vietnam from 2018 to 2024, then worked as a senior strategic partner at YouNet Group.FireAnt

The two legal representatives change from Ms. Thảo and Ms. Hạnh to Ms. Hạnh and Ms. My. The board is down to four members: Ms. Hạnh, Vice Chairman Nguyễn Hoàng Giang, Ms. Thảo and Mr. Đinh Hoài Nam. Mr. Giang and Mr. Nam are the two independent members.CafeF
Responsibilities have been redistributed too. Ms. Hạnh continues to oversee entertainment content and the concert series. Ms. My runs operations, pushes the merger of business lines and turns the content ecosystem into revenue. Ms. Thảo focuses on the two international joint ventures, SYE and MangoPlus.Người Quan Sát
Two readings of the timing
YeaH1 says this is a handover planned after the restructuring that began in 2022, tied to a 2027-2030 strategy that combines content, artist influence and commerce. Ms. Hạnh said the new governance model will help the group "optimize every dong of invested capital."Tin nhanh chứng khoán
Người Quan Sát reads it differently: replacing the chair was fairly unexpected, because it was not part of the plans laid out at the annual general meeting in late April. The resolution gives only Ms. Thảo's personal wishes as the reason.Người Quan Sát
The October placement: who bought, where the money went
On October 19, 2026, YEG announced it had sold 17 million shares privately, 68% of the amount registered. The other 8 million found no buyer and were cancelled. Ms. Thảo bought 7 million shares and Ms. Vũ Thị Như Mai, a private investor, bought 10 million.FireAnt

The company raised VND 170 billion, an average of VND 10,000 per share. That is the average for the whole placement, not the price paid by any single buyer. On October 19, YEG closed at VND 7,790, so the placement's average price was about 28% above the market price that day. On November 6, the day the new leadership took effect, YEG closed at VND 7,500, down 1.7% on the session and 25% below the placement average.

After the placement, Ms. Thảo holds 18.8 million shares, or 8.47% of equity. Subtracting the 7 million newly bought shares, she held about 11.8 million before. Ms. Mai went from 0% to 4.5%. YeaH1's charter capital rose from just over VND 2,052 billion to just over VND 2,222 billion.FireAnt
The proceeds were put into four subsidiaries that YEG owns 100%:FireAnt
- 1Production: VND 80 billion more, lifting contributed capital to VND 430 billion.
- Yeah1 Network: VND 61 billion more, lifting contributed capital to VND 141 billion.
- Mango+: VND 25.63 billion more.
- 1Brandlink: VND 4 billion more, lifting contributed capital to VND 6 billion.

Put side by side, day-to-day management has passed to someone from outside, while the person who has just added capital keeps a board seat and a larger ownership stake than before. This is a sequence in time, not a causal link: the resolution cites only personal wishes, and the share purchase was disclosed separately on October 19.
The third seat: Head of the Supervisory Board
In the same disclosure, YeaH1 said it had received a resignation letter from Mr. Nguyễn Văn Nam, Head of the Supervisory Board, dated November 4 and citing personal reasons. The resignation takes effect only once the general meeting of shareholders approves it.CafeF
The Supervisory Board oversees the board and management on shareholders' behalf. So within a single week, the Chairwoman, the CEO and the Head of the Supervisory Board all either changed or filed to leave. Mr. Nam's letter is not yet effective, which means he legally keeps the post until shareholders vote.
What shareholders do: November 18 to December 8
YeaH1 will set its shareholder list on November 18, 2026, for a written vote. The items put to shareholders include dismissals, electing an additional Supervisory Board member and amending the company charter. The voting period is planned for November 27 to December 8, 2026.Markettimes
On procedure: with T+2 settlement, shares must be in an account before the ex-rights date for the holder to appear on the list. That date is usually one session before the record date, and the exact day will be in the Vietnam Securities Depository and Clearing Corporation's notice.
Business backdrop
YeaH1 enters this phase after several years of recovery. In 2022, Ms. Thảo's first year as Chairwoman, it reported revenue of VND 314 billion and net profit of VND 25 billion. In 2025, revenue reached VND 1,639 billion and net profit VND 77 billion.Người Quan Sát
In the first nine months of 2026, net revenue was VND 896 billion and net profit VND 40 billion, below the VND 66.63 billion of the same period in 2025. In the third quarter alone, consolidated net profit was VND 16.6 billion, up 126.1% year on year. The company said tickets for the third and fourth nights of the 2026 Anh Trai Vượt Ngàn Chông Gai concert sold out in 88 minutes, and it expects the new leadership to add momentum during the year-end peak season.Tin nhanh chứng khoán
What to watch
The new structure is fairly clear: Ms. Hạnh keeps content, Ms. My keeps operations and commerce, Ms. Thảo keeps the international business. The first test for shareholders is the voting document, because it answers two concrete questions.
First, who is nominated to the Supervisory Board. If the nominee has never worked for YeaH1, the oversight body gains someone from outside the leadership that has just been reshuffled. If the nominee already works inside the group, shareholders will know that oversight of the new board has been handed to an insider. Either can be acceptable, as long as shareholders see it clearly before they vote.
Second, which charter provisions are amended. That is where the new leadership shows where it wants governance rules to change. The materials sent with the ballot, expected from November 27, should answer both questions.
