On the afternoon of 21 October 2026, Masan High-Tech Materials (UPCoM: MSR), the owner of the Nui Phao tungsten mine in Thai Nguyen, announced the appointment of Michael Hung Nguyen as Chief Executive Officer, effective the same day.CafeF He remains Vice Chairman of the MSR board. What shareholders should read closely is the mandate that comes with the job: pushing forward the plan to move MSR's listing from UPCoM to HoSE. The numbers suggest the timing depends more on the 2026 annual accounts than on who now holds the CEO seat.
The CEO seat goes to a capital-markets executive
Mr Michael's résumé leans heavily toward finance. According to Người Quan Sát, he graduated from Harvard, worked in investment banking at J.P. Morgan on M&A and capital markets, and joined Masan in 2009.Người Quan Sát At parent company Masan Group (MSN) he is Deputy CEO, responsible for new business development and investor relations, notably initial public offerings.VnExpress

MSR's announcement gives him three areas of work. The first is international partners: widening multi-year tungsten supply and processing agreements with overseas producers to steady revenue and cash flow. The second is deeper processing, meaning technology partnerships for refining, metal powders and recycling at Nui Phao itself. The third bears directly on shareholders: moving the listing to HoSE while bringing more strategic and long-term institutional investors onto the register.CafeF Mr Michael is responsible for consolidated results and will update progress on these priorities each quarter.Vietstock
Running the mine goes to someone else
At the same time, MSR assigned operations to Nguyen Thieu Nam, Chairman of the Members' Council of Nui Phao Mining and Processing Co., Ltd. Mr Nam is in charge of safety, product quality, delivery schedules, cost control, and expansion projects covering refining, deeper processing, and ore development to the west of Nui Phao and at Nui Chiem.Vietstock
The split shows two different kinds of work. A mine with processing capacity of about 3.5 million tonnes of ore a year needs someone on site.Người Quan Sát Getting shares onto a bigger exchange, finding more institutional shareholders and negotiating long-term contracts with foreign customers is boardroom and investor-meeting work. The CEO seat went to the second kind. Danny Le, Chairman of MSR, said the leadership reshuffle is meant to drive growth and create sustainable cash flow.Người Quan Sát
What MSR has in hand
This year's books look very different from previous years. According to company figures reported by Người Quan Sát, revenue for the first eight months of 2026 reached VND 21,013 billion, about 5.1 times the same period last year. Net profit after tax in the first half exceeded VND 2,200 billion, against a VND 216 billion loss a year earlier.Người Quan Sát In dollar terms, first-half net profit was about USD 83 million, with a full-year plan of about USD 233 million.VnExpress

The company also already has a foreign strategic shareholder. On 1 October, Elmet Group (US), a customer of MSR for more than 12 years, completed a USD 124.75 million investment for 4.99% of the shares, implying an equity valuation of about USD 2.5 billion. Masan remains the controlling shareholder after the deal.CafeF On dividends, MSR plans to pay a total of 60% for 2026, about VND 6,600 billion. It has already advanced 10% and announced the record date for the next 20%.Người Quan Sát Its longer-term capital allocation and dividend policy will be announced together with 2026 results.CafeF
On the board, MSR closed on 21 October at VND 62,700, down 3.83% in a session when the VN-Index rose 2.76%. The articles on the appointment were published after the close, so that decline does not yet reflect the personnel news. MSR's market capitalisation is around VND 69,300 billion.

Listing requirements will set the calendar
The 21 October announcement gives no date for the exchange move and no information on when a listing application will be filed. To guess the timetable, MSR's results have to be set against the current listing requirements.
Decree 245/2025/ND-CP, effective from 11 September 2025, requires a company seeking listing to have ROE of at least 5% in the year before registration, to have been profitable in the two preceding years, and to have no accumulated losses in its latest audited financial statements.Government portal
Against that framework, 2025 is the sticking point. For the full year 2025, MSR earned only VND 11.29 billion after tax, with ROE of 0.09%. In 2024 it lost about VND 1,590 billion. If it filed in 2026, MSR would be assessed on 2025 ROE and on the 2024 and 2025 results, so it would meet neither the 5% ROE bar nor the two-profitable-years test.

2026 is different. In the first half alone, profit was nearly 200 times the whole of 2025. If MSR holds that level of profit for the full year, a filing based on audited 2026 accounts would show two consecutive profitable years, 2025 and 2026, and ROE for the preceding year would likely clear 5%. This is an inference from the legal criteria, not a timetable MSR has announced. It indicates that the earliest point at which a filing meets the profit tests depends on the 2026 annual financial statements, which is also when the company expects to announce its dividend policy.
Beyond profit, there is a requirement on shareholder structure, meaning the share of stock held by a broad base of small shareholders. For a company that Masan still controls, this is the work behind Mr Michael's brief to "broaden strategic and long-term institutional investors". Charter capital is not an obstacle: MSR has about VND 11,050 billion, far above the VND 30 billion minimum.
What a HoSE listing changes for current holders
The most visible change is the price band. On UPCoM a stock can move up to 15% per session, while on HoSE the limit is 7%.DSC For a stock that has gone from around VND 32,200 to VND 68,200 in three months, a narrower band means shorter daily moves in both directions.
Order matching also changes. HoSE has periodic call auctions at the open and close, while UPCoM matches continuously only, so many investors will need to get used to ATO and ATC orders again.
What holders most often hope for is margin lending and fund flows, and neither arrives automatically. A HoSE-listed stock qualifies for margin lending only if it meets separate criteria on listing history, business results and audit opinion. Inclusion in an index basket or an ETF portfolio also depends on each index's rules, such as free-float size. A transfer opens the door to those possibilities; it does not hand them over.
What is still missing and what to watch
MSR's picture today has two halves. What it has: profit is back, a US strategic shareholder at an implied valuation of about USD 2.5 billion, a 60% dividend plan, and now a CEO tasked directly with the exchange move. What it lacks: a listing filing date, Q3 2026 results and a long-term dividend policy.
The 2026 outcome is not certain either. First-half profit came off a very low base, and the company's reporting does not separate the contributions of tungsten prices, volumes or exchange rates. Interest expense in Q2 2026 rose to about VND 310 billion, above the prior-year period. On the other side, Q2 2026 ROE alone reached 12.29%, so the 5% full-year bar is only at risk if the second half swings back to a large loss. If tungsten prices turn, the nearer risk is full-year profit below plan, shrinking the cash available for dividends.
The thesis of this piece is that the people are in place, while the data sets the timing. Two signals are worth following. The first is Mr Michael's quarterly progress update: if it mentions a shareholder-meeting resolution approving the listing move or a HoSE filing date, the plan has moved to the paperwork stage. The second is the audited 2026 financial statements together with the dividend policy. That report decides whether a filing meets the profit tests and shows whether most of MSR's free cash flow will be paid out or kept to expand the mine.
