MSB Offers 936 Million Shares, Shareholders Must Pay Cash

Just over a month after receiving bonus shares, MSB shareholders can now buy 25% more at VND 10,000 each. Put simply, holding 1,000 shares takes VND 2.5 million to keep the same ownership stake.

A shareholder holding 1,000 MSB shares will need to pay an extra VND 2.5 million to keep the same stake in the bank. That is the direct consequence of a resolution that shareholders of Maritime Commercial Joint Stock Bank (MSB) just passed through a written vote, published by the Ho Chi Minh City Stock Exchange (HoSE) together with the vote tally on October 12.Mekong ASEAN

The timing is what stands out. Little more than a month ago, MSB shareholders received extra shares without paying a dong. This time, keeping their share of the bank costs real cash. This piece walks through the mechanics so you can see how your own account would change.

What the October 12 resolution approves

MSB will offer 936 million shares to existing shareholders through a public offering, at a 100:25 rights ratio.VNBA In plain terms: for every 100 shares held on the record date, you can buy 25 new ones. The offer price equals par value, VND 10,000 per share.Người Quan Sát

If every share is sold, the bank raises VND 9,360 billion. Charter capital would rise from VND 37,440 billion to a planned VND 46,800 billion, an increase of 25%.Mekong ASEAN Shares outstanding would go from 3.744 billion to 4.68 billion.VNBA

The purchase rights are transferable, and the new shares are expected to be freely transferable. Odd-lot shares and any portion shareholders do not take up can be handled by the board at a price no lower than VND 10,000 per share, on terms no more favorable than those offered to existing shareholders.Người Quan Sát

Most specifics are delegated to the board: the issuance date, the record date for shareholders, and the timing of the additional listing.Mekong ASEAN The resolution does not yet set a record date or a subscription window.

Last time shares were given, this time they must be paid for

MSB's first capital increase of 2026 was a stock dividend of 624 million shares from equity at a 20% ratio, lifting charter capital from VND 31,200 billion to VND 37,440 billion.VNBA The State Bank of Vietnam approved the plan on July 16, 2026, and MSB completed the issuance on September 3, 2026.

For a shareholder, the two rounds differ in one basic way. Last time, 100 shares automatically became 120, nobody paid anything, and every holder's percentage stake stayed put because everyone received the same ratio. This time, the 25 new shares arrive in your account only if you pay. If you do not, your share count stays flat while the bank's total share count grows 25%.

What happens to an account with 1,000 shares

Take someone holding 1,000 MSB shares on the record date (not yet announced). At 100:25, that holder has the right to buy 250 new shares and can go one of three ways.

Buy the full allotment. The holder pays 250 × VND 10,000, or VND 2.5 million, and ends up with 1,250 shares. The ownership stake is unchanged, because the holder's share count and total shares outstanding both rise 25%. MSB's largest shareholder follows the same arithmetic: per the offering documents, Vietnam Posts and Telecommunications Group (VNPT) holds 226.4 million shares, or 6.05%.Người Quan Sát Taking up its full rights would give VNPT 283.1 million shares and keep it at 6.05%.

Sell the rights. Because the rights are transferable, the holder can sell the 250 rights to someone else within a window MSB will announce. No cash is paid in, and the holder receives the sale proceeds at a price negotiated between buyer and seller. In exchange, the holder still has only 1,000 shares out of 4.68 billion instead of 3.744 billion, so the stake falls to 80% of what it was before the offering.

Let the rights expire. The holder keeps 1,000 shares, pays nothing and receives nothing. The stake shrinks exactly as in the sell-the-rights case, to 80% of its previous size. In addition, on the ex-rights date the stock's reference price will be adjusted to reflect the new shares sold at VND 10,000. A holder who lets rights lapse absorbs that adjustment with nothing in return.

Comparing three choices with 1,000 MSB shares

Each path trades one thing for another: more cash to keep the stake, sale proceeds in exchange for a smaller stake, or no trade at all. Which fits depends on how much spare cash a holder has and how large an MSB weighting they want in their portfolio. This piece does not choose for the reader.

One small detail: rights are calculated from shares held on the record date. For a holding not divisible by 4, the odd-lot portion falls to the board to handle under the resolution.

Where the VND 9,360 billion would go

Under the use-of-proceeds plan in the shareholder proposal, MSB intends to set aside about VND 6,500 billion for lending to individual and corporate customers, nearly 70% of the expected proceeds. Another VND 2,260 billion is earmarked for investments, capital contributions and share purchases, including topping up subsidiaries in securities, fund management, insurance and consumer finance. About VND 600 billion remains for technology, digital transformation and artificial intelligence.VNBA

This allocation is not fixed. The board can adjust the mix and timing in line with operations and market conditions. If the purpose of the funds changes, the bank must comply with the law and report to the next general shareholders' meeting.Mekong ASEAN

Planned use of the VND 9,360 billion raised

On capital strength, the offering documents record MSB's capital adequacy ratio (CAR) at 12.49% and its NPL ratio at 1.71% at the end of 2025.Người Quan Sát More equity gives the bank extra room to lend without thinning its capital buffer, and a plan that puts nearly 70% toward lending fits that purpose.

New deals are still at the in-principle stage

Alongside the capital raise, shareholders also approved in-principle plans to expand beyond banking:Mekong ASEAN

  • Securities: contribute capital or buy shares to acquire a securities firm and make it a subsidiary. The board is tasked with finding, assessing and choosing the target, and deciding the deal structure, stake and price.
  • Life insurance: the board may choose between setting up a new company or buying shares in an operating one.
  • Non-life insurance: contribute capital to set up a subsidiary in Vietnam.
  • Subsidiary bank in the Vietnam International Financial Centre: set up a single-member limited liability commercial bank wholly owned by MSB.

The resolution names no counterparty, deal value or capital amount, and the bank has not disclosed the target securities firm. For shareholders, the VND 2,260 billion earmarked for capital contributions is for now a budget line, not tied to any specific asset.

What is still uncertain

Before a record date is set, the offering still has procedural steps to clear. According to the proposal, the offering is expected in 2026 or after the bank completes the legal procedures, including approval from the State Bank of Vietnam and registration of the offering with the State Securities Commission.Người Quan Sát

Three points remain open for MSB holders. First, there is no record date yet, and that date decides who receives rights, along with the deadlines to transfer them and to pay. Second, the actual proceeds could fall short of VND 9,360 billion if shareholders do not take up everything and the board cannot place the remainder. Third, shares left unsubscribed will be placed by the board at no less than VND 10,000, but the resolution does not say who may buy them.

The signals worth watching next: the board's announcement of the record date, which will set the rights-transfer and payment deadlines, and the identity of the target securities firm, which will show what the VND 2,260 billion turns into.
