Masan High-Tech Materials (MSR) has proposed paying out roughly VND 5,500 billion in additional cash dividends, or VND 5,000 per share, and is now collecting shareholder approval in writing.MarketTimes Run the payout through the shareholder register as it stood after the morning of October 1 and the math is simple: close to VND 4,800 billion of it would go to the Masan group, with everyone else splitting a far smaller slice.
The dividend proposal did not arrive alone. On the same day, the parent completed the sale of a 4.99% stake in MSR to The Elmet Group, and MSR's board passed a resolution setting out a path from UPCoM to a HoSE listing. All of this landed on one day, but the pieces carry very different levels of certainty. This post separates them so that MSR holders, and MSN holders too, can see what is done and what is still pending.

Done: the negotiated trade on October 1
On the morning of October 1, MSR printed a negotiated trade of 55.14 million shares worth almost VND 3,240 billion, or about VND 58,800 per share.CafeF That volume matches the number of shares that Masan Horizon Co., Ltd. (Tầm Nhìn Masan), MSR's direct parent, had registered to transfer to Elmet. Elmet paid roughly 6% above the September 30 close of VND 55,300.CafeF
After the trade, Masan's stake in MSR fell from 92.45% to about 87.46%. Elmet holds 4.99%, and the remaining 7.55% or so sits with other shareholders, including retail investors trading the stock on UPCoM.Người Quan Sát This was a transfer of existing shares, not a new issue. MSR's share count is unchanged and existing holders are not diluted.
A few terms of the deal are worth knowing. Elmet's shares are locked up for 18 months unless Masan Horizon consents. For the first 6 months, Masan Horizon may not sell to a third party at a valuation below what Elmet paid, save for agreed exceptions. Masan Horizon also committed to push MSR toward a dividend payout target of up to 80% of net profit for three years after the deal, and the document states plainly that this is not a fixed 80% commitment.CafeF
On the exchange, MSR closed October 1 at VND 58,600, up almost 6% on the day, with about 3.99 million shares matched. The VN-Index fell 1.09% to 1,749.30 in the same session, while parent MSN rose 2.75% to VND 70,900. MSR closed right around Elmet's entry price, but the session also carried the dividend announcement, so there is no clean way to say which item moved the stock.
Decided in principle: the road to HoSE
The board resolution of October 1 approves a direction to raise MSR's free float and broaden its shareholder base so the company meets HoSE listing requirements. Shares will reach outside investors from two sources.
Masan sells down. Masan Horizon may transfer up to 10% of MSR to strategic and long-term institutional investors through negotiated deals, not through order-matching on the exchange.CafeF Elmet took 4.99%. MSR issues new shares. The company plans to issue roughly 5% in new shares to strategic investors, domestic and foreign institutions, or professional securities investors, with proceeds earmarked for expanding mining and deep processing at Núi Pháo.MarketTimes The detailed plan still has to go to the shareholders' meeting, so it has not been approved.

What ties the two sources together is a price condition. Later transfers may not be priced below the deal with the first strategic investor, and new shares may not be issued below the price paid by the most recent strategic investor. In effect, Elmet's roughly VND 58,800 becomes a floor for the negotiated sales and issuance that follow. Note the scope: the condition covers negotiated and issue prices only. It is not a promise about where MSR trades on the exchange.
Under the current plan, Masan Group keeps about 75% of charter capital until MSR lists, and MSR stays a consolidated subsidiary. The target is to file the HoSE listing application in 2027.MarketTimes The board is tasked with carrying out the next steps "at a time suited to market conditions." Apart from the 5.01% tranche with its October 30 deadline, none of the remaining steps has a firm date.
Pending shareholder approval: VND 5,000 a share
MSR's board approved a written shareholder consultation on the 2026 profit distribution policy, under which all of 2026 net profit would be paid out in cash. The first tranche is already done: VND 1,000 per share, about VND 1,100 billion in total, paid in September.Người Quan Sát The second tranche is set at VND 5,000 per share, or 50% of par value. With roughly 87.46% of the shares in Masan's hands, the vote is effectively Masan's call. The more practical question for MSR holders is who gets how much, and when the cash lands. The board has authority to set the final interim amount, the record date and the payment date, but those will only be announced after shareholders sign off.
If ownership stays where it was after the morning of October 1 until the record date, the roughly VND 5,500 billion second tranche splits as follows. The Masan group receives about VND 4,800 billion. Elmet receives about VND 275 billion. All other shareholders receive about VND 415 billion. These are Investify's calculations based on the published ownership figures and payout size.

That split will shift with the sale of the remaining 5.01%. If Masan Horizon sells all of it before the record date, Masan's share drops to about VND 4,530 billion, and about VND 965 billion goes to shareholders outside Masan, including institutions that just bought in at about VND 58,800 or higher. The record date has not been announced, so it is not yet clear which comes first.
For the Masan group, adding the almost VND 3,240 billion Elmet paid Masan Horizon to roughly VND 4,800 billion in second-tranche dividends puts total cash moving from MSR up to the parent level this season at around VND 8,000 billion. The distinction matters: the first amount has been received, while the second still awaits shareholder approval.
The ex-dividend date. For cash dividends, the reference price on the ex-dividend date is adjusted down by exactly the dividend per share.VCBS As an illustration, if the prior session's reference price works out to VND 58,600, the ex-dividend reference price would be VND 53,600. The account value of the shares drops accordingly, and the cash arrives on the payment date. Someone holding 1,000 MSR shares through the record date receives VND 5,000,000 before personal income tax, while anyone buying from the ex-dividend date onward misses this payment.
Where the money comes from, and where the limits are
The most striking part of the plan is its size relative to profit already booked. Total 2026 dividends of VND 6,600 billion are roughly three times first-half net profit of VND 2,202 billion, which itself compares with a VND 216 billion loss a year earlier.Người Quan Sát First-half net revenue came in at about VND 11,131 billion. By the end of August, cumulative net revenue had reached VND 21,013 billion, which means July and August alone nearly matched the previous six months combined.Người Quan Sát

If "pay out all of 2026 net profit" is to square with VND 6,600 billion, the second half needs to earn about VND 4,400 billion, double the first half. July and August revenue suggests that assumption has a basis, but third-quarter profit is what will actually confirm it.
On the debt side, short- and long-term borrowings stood at about VND 13,288 billion at June 30, 2026, with debt-to-equity around 92%. The company says that after paying the dividend, net debt to EBITDA should be around 1.1x at the end of 2026, below its target of about 1.7x, and it is aiming for a net cash position in 2027.Người Quan Sát These are company projections, not audited figures.

From fiscal 2027, MSR intends to pay at least 50% of consolidated net profit attributable to parent shareholders in cash, a policy expected to go to the 2027 annual shareholders' meeting.MarketTimes MSR itself lists what will decide the real payout: earnings and cash flow, the need to restructure debt, and investment in expanding mining and deep processing. It also says outright that the absolute dividend each year depends on actual profit through the mineral price cycle. Plans to lift tungsten oxide capacity to more than 8,000 tonnes of WO₃ a year are a capital need running in parallel with the payout policy.Người Quan Sát
Put differently, the VND 6,000 per share for 2026 reflects a year of favourable mineral prices. It is not a fixed baseline for the years ahead.
Milestones to watch
What MSR has done since October 1 is fairly clear. Elmet came in at about VND 58,800, that price now acts as a floor for further sales and issuance, and Masan is moving from about 87.46% toward about 75% ahead of a 2027 HoSE filing. What remains is mostly a question of timing, and it comes down to four milestones.
- The shareholder consultation result on the VND 5,000 dividend. Given Masan's stake, approval is highly likely, but the board will only announce the final amount once a resolution is in place.
- The record date and payment date, which the board announces afterward. This decides who gets paid and when the cash arrives.
- Progress on the remaining 5.01% through October 30. Whether that sale closes before or after the record date puts Masan's dividend share somewhere between about VND 4,530 billion and VND 4,800 billion.
- MSR's third-quarter financial statements. Q3 profit will show whether 2026 earnings can actually support the VND 6,600 billion total.
My read: cash flowing from MSR to the parent is real, and part of it has already arrived in the form of almost VND 3,240 billion from Elmet. The larger piece, about VND 4,800 billion in dividends, is close to certain on the vote but still depends on the record-date timeline. What could change the picture is not the shareholder vote but third-quarter profit. If the second half falls short of about VND 4,400 billion, total dividends of VND 6,600 billion would exceed the "all of 2026 net profit" ceiling that the plan itself sets.
